Our governance framework combines independent Board oversight with structured member engagement, ensuring decisions are informed by operational experience, technical expertise and the evolving needs of the transport sector.

This collaborative model directly supports the maintenance and development of the ITSO core framework - the ITSO Specification, ISAM and ISMS. Through active engagement, members help shape controlled product evolution, strengthen security and compliance, and ensure that the framework continues to meet both national policy priorities and the practical realities of operators, suppliers and authorities.

Governance at ITSO

The ITSO Board of Directors provides strategic leadership, assurance and accountability. It is responsible for setting strategic direction, approving business plans and major investment decisions, and ensuring that ITSO operates in accordance with its purpose, licence obligations and the expectations of members and the Department for Transport.

The Board maintains oversight of organisational capability, financial performance and the effectiveness of internal controls. It monitors delivery against agreed strategic priorities and ensures that appropriate governance arrangements are in place to support innovation, change and long-term sustainability. Through this stewardship role, the Board safeguards the integrity and resilience of the ITSO framework.

ITSO operates a structured risk management framework designed to identify, assess and mitigate risks across technical, operational, financial and regulatory domains.

Risks are recorded, evaluated and monitored through defined processes, with mitigation plans assigned to accountable owners. Regular reporting ensures that emerging issues are identified early and that risk exposure remains aligned with agreed risk appetite.

The Board oversees the effectiveness of this framework, receiving assurance that risks are being actively managed and that appropriate controls remain in place to protect the stability, security and reputation of ITSO and the members it serves.

The development and evolution of ITSO products and services including the core framework including the ITSO Specification, ISAM and the ISMS are governed through a structured, member-led process.

Proposals for change or enhancement are reviewed through established technical and governance channels, including the Technology Development and Innovation Group (TDIG) and the Technical Committee. Submissions are assessed against defined criteria, including interoperability impact, member value, security considerations, strategic alignment and resource implications.

Only proposals that meet agreed technical and strategic standards progress to formal development and approval. This controlled approach ensures that innovation is introduced in a way that protects the stability, integrity and interoperability of live schemes.

Through this framework, ITSO balances innovation with assurance, enabling evolution without fragmentation.

ITSO’s governance model is supported by structured engagement with its members, ensuring that strategic, technical and operational decisions are informed by real-world experience.

Formal advisory groups and open forums provide mechanisms for authorities, operators and suppliers to contribute insight, raise issues and propose enhancements. These forums enable collaborative discussion of emerging requirements, interoperability challenges and innovation opportunities, supporting informed and evidence-based decision-making.

Member input informs the maintenance and evolution of the ITSO core framework, while final decisions remain subject to established approval and oversight arrangements.

Through this approach, ITSO ensures that the framework remains practical, relevant and responsive to the needs of the transport sector, while maintaining stability and consistency across the national environment.
